Gratiae Premier Europe B.V. is the seller and contracting party for purchases made through this Website unless expressly stated otherwise.

In these Terms, “Premier,” “we,” “us” and “our” refer to Gratiae Premier Europe B.V. “You” and “your” refer to the person accessing the Website or purchasing products through it.

These Terms should be read together with our Privacy Policy, Shipping Policy, and Return & Refund Policy.

Nothing in these Terms limits any mandatory consumer rights that cannot lawfully be excluded or restricted.

6. Orders

By placing an order, you make an offer to purchase the products in your cart under these Terms.

After receiving your order, we will send an electronic acknowledgement or confirmation.

We may refuse or cancel an order where reasonably necessary, including where:

  • A product is unavailable.
  • Payment cannot be authorized.
  • We identify a material pricing or Website error.
  • We reasonably suspect fraud or misuse.
  • Shipping to the requested destination is unavailable or legally restricted.
  • The order appears to be intended for unauthorized commercial or wholesale activity.
  • Applicable law or regulatory requirements prevent us from fulfilling the order.

If payment has already been collected for an order that we cannot accept or fulfill, we will refund the applicable amount using the original payment method unless otherwise agreed.

Nothing in this section restricts rights that consumers may have under mandatory applicable law.

8. Prices

Prices are displayed in the currency selected or made available for your location.

For customers within the European Union, prices presented as the consumer selling price will include applicable VAT where required by law.

Any delivery charges and other mandatory charges collected by us will be disclosed before you complete your order.

Depending on the destination, prices, taxes and shipping charges may differ.

Currency conversion rates displayed through the Website or payment provider may change over time.

9. Pricing and Website Errors

We take reasonable care to ensure that prices and product information are correct.

If an obvious or material pricing error occurs, we may contact you before fulfilling the order.

Where no valid contract has yet been concluded, we may decline the order. Where a contract has been concluded, we will deal with the error in accordance with applicable law.

We will not use this provision to withdraw from a valid consumer contract merely because we later decide that an accurately displayed price was commercially unfavorable to us.

Payments may be processed by Shopify Payments and/or other authorized payment providers.

By submitting payment information, you confirm that you are authorized to use the selected payment method.

We do not impose payment-method charges that are prohibited by applicable law.

11. International Sales, Duties and Import Charges

Premier sells internationally.

Orders delivered outside the European Union may be subject to import duties, taxes, customs clearance charges or other governmental fees in the destination country.

Where Premier collects such charges at checkout, this will be indicated during the purchasing process.

Where import charges are not collected by Premier, the recipient may be required to pay them directly to the relevant authority or delivery provider, subject to the rules applicable in the destination country.

Customers are responsible for providing information reasonably required for customs clearance.

12. Shipping and Delivery

Available shipping methods, estimated delivery times and applicable charges are displayed during checkout or described in our Shipping Policy.

For EU consumers, unless a different delivery time has been agreed, goods will be delivered without undue delay and no later than the period required by applicable consumer law.

Delivery estimates are estimates unless we expressly agree to a guaranteed delivery date.

We are not responsible for delays caused by circumstances genuinely outside our reasonable control, but this does not affect any statutory rights you may have if delivery is delayed.

13. Risk During Delivery

Where Premier arranges delivery to an EU consumer, the risk of loss or damage remains with Premier until you, or a third party identified by you other than the carrier, physically receive the goods.

If you independently appoint a carrier that was not offered by Premier, risk may transfer when the goods are handed to that carrier where applicable law provides.

For customers outside the EU, mandatory local consumer-protection laws will apply where relevant.

14. Right of Withdrawal for EU/EEA Consumers

If you are an EU/EEA consumer purchasing online, you generally have a statutory 14-day right of withdrawal from an eligible distance contract without having to provide a reason.

For goods, the withdrawal period generally begins when you or a third party designated by you receives the goods.

15. Returns and Refunds

Our commercial return arrangements are described in the Return & Refund Policy available on this Website.

Any voluntary return period offered by Premier is additional to, and does not replace or reduce, statutory consumer rights.

Refunds will be processed in accordance with the applicable Return & Refund Policy and mandatory consumer law.

16. Faulty or Non-Conforming Products

Consumers have statutory rights when goods are defective, damaged, unsafe, or do not conform to the sales contract.

For consumers in the European Union, these rights include the legal guarantee provided by applicable EU and national consumer law.

These statutory rights are separate from:

Nothing in these Terms limits your statutory rights concerning defective or non-conforming goods.

17. Commercial Warranties

PREMIER, PREMIER DEAD SEA and related names, logos, product names, designs and trade dress may be registered or protected trademarks belonging to Premier group companies or their licensors.
